In the interests of its shareholders, the JCDecaux Group is keen to follow the principles of corporate governance. In 2000, the Group changed its status into that of a public limited corporation governed by an Executive Board and a Supervisory Board. The latter is assisted in its work by two committees: the Audit Committee, chaired by Xavier de Sarrau; and the Remuneration and Appointments Committee, chaired by Jean-Claude Decaux.

Jean-Claude Decaux Founder of the JCDecaux Group, he has been the Chairman of the Supervisory Board since October 9, 2000.

Jean-Pierre Decaux Vice-Chairman of the Supervisory Board since October 9, 2000. He was previously Chairman of the Group’s subsidiary Régie Publicitaire de Mobilier Urbain (RPMU).

Monique Cohen She is an independent member of the Supervisory Board since May 11, 2011. She is an Executive Partner of Apax Partners & Co. She is graduated from Ecole Polytechnique (1976) and holds a Master’s degree in mathematics and a degree in business law. She began her career in Banque Paribas where she held various positions in mergers & acquisitions and capital market activities. In 1999, she was appointed world manager of the equities business lines and a member of the Management Committee of Paribas, and continued to assume these same responsibilities within BNP Paribas. She joined Apax Partners in 2000 as an Executive Partner responsible for equity investments in the Business and Financial Services sector. Since January 2006, she has also been a member of the European Commission Expert Group on private equity and venture capital.

Pierre Mutz Member of the Supervisory Board since May 13, 2009. He is graduated of the special Saint-Cyr Military Academy, was Préfet (State representative) of the Ile de France region and Préfet of Paris from May 2007 to October 2008. Between 1996 to 2007, he served as Préfet of the Essonne region, Préfet of the Limousin region, Préfet of the Haute-Vienne region, Director-General of the Gendarmerie Nationale and Préfet of Police (Chief of the Paris Police). An officer on active duty in the French army from 1963 to 1980, Pierre Mutz then left the armed forces to join the Prefectural Corps in which he held various positions from 1980 to 1996.

Xavier de Sarrau Member of the Supervisory Board since May 14, 2003. He is an attorney-at-law, holding a doctorate in tax law and a degree from the HEC school of business administration. He previously served as Managing Partner of the Andersen Group for Europe, Africa, India and the Middle East before taking responsibility for the support functions worldwide within the same group. He is a former member of the National Bar Association (Conseil National des Barreaux) and is a Knight of the Legion of Honour.

Pierre-Alain Pariente Member of the Supervisory Board since October 9, 2000. He held various positions in the JCDecaux Group between 1970 and February 2000, notably as Sales Director of the subsidiary Régie Publicitaire de Mobilier Urbain (RPMU).

The Board

The Executive Board has four members appointed by the SupervisoryBoard which manage the Company’s day-to-day operations.Jean-François Decaux and Jean-Charles Decaux alternate as the Chairman of the Executive Board.

Jean-François Decaux Chairman of JCDecaux SA and co-Chief Executive Officer of the Group. He joined the company in 1982 and lived in Germany to create and develop the German subsidiary. He then developed subsidiaries in Northern and Central Europe primarily through organic growth. More recently, he succeeded in establishing operations in the United States, as well as in Australia ahead of the Olympic Games.

Jean-Charles Decaux Chief Executive of the Board of JCDecaux SA and co-Chief Executive Officer of the Group. He joined the company in 1989 and moved to Spain to set up and develop the Spanish subsidiary. He then developed subsidiaries in Southern Europe, Asia and South America, primarily through organic growth. He has also served as Chairman and Chief Executive of Avenir since June 1999.

Laurence Debroux Chief Financial and Administrative Officer and Member of the Executive Board joined JCDecaux on July 1st, 2010. She has spent the last fourteen years at Sanofi. After an initial period as Head of Treasury, she was promoted to the position of CFO and her latest role was Chief Strategic Officer and Member of the Sanofi Aventis Executive Board. Prior to Sanofi, Laurence Debroux worked for Elf Aquitaine in their Finance team.

Jeremy Male Managing Director of Northern and Central European Operations. Jeremy Male joined the Group in August 2000. Prior to this, he was Managing Director of European Operations for Viacom Outdoor and held a series of management positions in FMCG groups such as Jacobs Suchard and Tchibo.
